1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Global MLM Software Solutions ("Company", "we", "us") operating from New Delhi, India. By accessing our website at global-mlm.com, submitting a demo request, or purchasing any software or services, you unconditionally accept these Terms.

2. Services Description

Global MLM Software Solutions provides:

• Custom MLM software development for binary, matrix, unilevel, generation, ROI, donation, board, and hybrid compensation plans
• SaaS-based MLM platform subscriptions
• White-label MLM software licensing
• Mobile application development (iOS and Android)
• Ecommerce and payment gateway integration
• Technical support, maintenance, and upgrade services
• Business consulting for MLM compensation plan design

3. Demo Requests

Free demo requests are non-binding. Submitting a demo request form does not create a contract or financial obligation. We reserve the right to decline demo requests at our discretion. Demo sessions are typically scheduled within 4 business hours of a confirmed request.

4. Payment Terms

Software development and licensing payments are governed by individual project agreements. General terms include:

• All prices are quoted in USD unless otherwise specified
• Custom development projects typically require 50% advance payment
• SaaS subscriptions are billed monthly or annually as agreed
• All payments are non-refundable once development work has commenced, except where expressly agreed in writing
• Late payments may attract interest at 1.5% per month on outstanding balances

5. Intellectual Property

5.1 Our IP

All proprietary framework code, platform architecture, and generic modules remain the intellectual property of Global MLM Software Solutions. Custom code developed exclusively for your project transfers to you upon full payment.

5.2 Your IP

Your business data, brand assets, and content remain your exclusive property. We do not claim any ownership over your company data processed through our platform.

5.3 Website Content

All content on global-mlm.com — including text, images, designs, and code — is protected by copyright and may not be reproduced without written permission.

6. Prohibited Uses

You may not use our software or website to:

• Operate illegal pyramid schemes, Ponzi schemes, or fraudulent investment programs
• Violate any applicable laws including the India Prize Chits and Money Circulation Schemes Act
• Conduct money laundering or financial fraud
• Distribute malware or engage in hacking activities
• Infringe upon any third-party intellectual property rights

Violation of prohibited uses may result in immediate service termination without refund and potential legal action.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Global MLM Software Solutions shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Any damages exceeding the total fees paid to us in the 3 months preceding the claim
• Interruptions caused by third-party services (payment gateways, email providers, cloud infrastructure)

8. Service Level Agreement (SLA)

We commit to a 99.9% uptime SLA for hosted/cloud deployments. Planned maintenance windows are communicated 48 hours in advance. Downtime caused by client-side issues, third-party services, or force majeure events are excluded from SLA calculations.

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary business information shared during the engagement. This obligation survives termination of the agreement for a period of 3 years.

10. Termination

Either party may terminate a service agreement with 30 days written notice. We may terminate immediately for material breach including non-payment, illegal use, or violation of these Terms. Upon termination, your data will be made available for export for 30 days before deletion.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in New Delhi, India.

12. Modifications

We reserve the right to modify these Terms at any time. Changes are effective upon posting to our website. Continued use of our services after changes constitutes acceptance.
